1. Agreement to Terms

By accessing or using NebusAI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. NebusAI provides an enterprise AI platform providing intelligent automation, predictive analytics, and AI-powered solutions for businesses.

2. Description of Service

NebusAI is an enterprise AI platform providing intelligent automation, predictive analytics, and AI-powered solutions. Our platform includes cloud infrastructure services, AI model routing and orchestration (ACP Router), intelligent agents (Minerva, Maximus), analytics dashboards, and industry-specific applications including Restaurant Revolution and Creator Revolution.

3. Account Registration

  • You must be at least 18 years old to create an account
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials, API keys, and access tokens
  • You are responsible for all activities that occur under your account, including API usage
  • You must notify us immediately of any unauthorized use or security breach
  • Enterprise accounts must designate an authorized administrator

4. Subscription and Payment

Pricing

Current pricing is available upon request or through our sales team. We reserve the right to modify pricing with 30 days written notice.

Billing

  • Monthly subscriptions are billed in advance
  • Annual subscriptions are billed for the full year upfront at a discounted rate
  • Usage-based charges (API calls, AI inference, storage) are billed in arrears
  • Enterprise agreements may have custom billing terms

Free Tier

Certain services may include a free tier with limited usage. Free tier availability and limits are subject to change with notice.

Cancellation

  • You may cancel your subscription at any time from your account settings or by contacting support
  • Monthly subscriptions end at the end of the current billing period
  • Annual subscriptions are non-refundable but service continues until the end of the term
  • Enterprise agreements are governed by their specific contractual terms

5. AI Services and Model Usage

AI Output Limitations

  • AI-generated outputs are provided for informational and operational purposes and should not be considered as professional, legal, medical, or financial advice
  • While we strive for accuracy, AI models may produce incorrect, incomplete, or biased outputs. You are responsible for reviewing and validating AI outputs before relying on them for critical decisions
  • AI model performance may vary based on input quality, context, and model version
  • We do not guarantee specific accuracy rates, response times, or model availability for any particular AI model tier

Model Accuracy Disclaimers

  • Predictive analytics and forecasting outputs are based on statistical models and historical data patterns. Actual results may differ materially from predictions
  • AI recommendations (including but not limited to inventory, staffing, pricing, and content suggestions) are advisory in nature and should be validated by qualified personnel
  • We continuously improve our models but do not guarantee backward compatibility of AI outputs across model versions

Responsible AI Use

You agree to use our AI services responsibly and not to:

  • Use AI outputs to make automated decisions that could cause harm without human oversight
  • Attempt to extract, reverse-engineer, or replicate our AI models
  • Use AI services to generate misleading, harmful, or illegal content
  • Circumvent usage limits, rate limiting, or tier restrictions

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any laws in your jurisdiction
  • Attempt to gain unauthorized access to our systems or other users' data
  • Interfere with the Service's operation or infrastructure
  • Reverse engineer, decompile, or disassemble the software
  • Resell or redistribute the Service without authorization
  • Exceed rate limits or abuse API endpoints
  • Use the platform to develop competing AI services without written permission

7. Data Ownership

  • Your Data: You retain all rights to the data you input into the Service, including business data, configurations, and operational information.
  • AI Outputs: Subject to the underlying model providers' terms, you own the outputs generated by our AI services using your data and prompts.
  • Data Export: You may export your data at any time through the platform's export features or API.
  • Aggregated Data: We may use anonymized, aggregated data for analytics and service improvement, as described in our Privacy Policy.

8. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for service interruptions beyond our control, including third-party AI provider outages
  • Enterprise SLA agreements may provide additional availability guarantees

9. Intellectual Property

The Service, including its design, features, AI models, algorithms, and content, is owned by NebusAI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

10. Confidentiality

Both parties agree to protect confidential information received from the other party. Confidential information includes business data, technical specifications, pricing, and any information marked as confidential. This obligation survives termination of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for damages arising from reliance on AI-generated outputs or predictions
  • Our total liability is limited to the amount you paid in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless NebusAI, its affiliates, officers, directors, and employees from any claims arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

  • We may suspend or terminate your account for violation of these Terms
  • We may terminate the Service with 90 days notice
  • Upon termination, your data will be available for export for 30 days
  • Sections regarding liability, indemnification, and confidentiality survive termination

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance. Enterprise customers will be notified according to their agreement terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims for injunctive relief. Each party shall bear its own costs of arbitration.
